Flagship projects:
- Strategic legal assistance and representation aimed at preventing a dispute arising from non-performance of obligations under a preliminary sale and purchase agreement (promisiune de vânzare-cumpărare), with the objective of recovering in full the advance paid by the client;
- Advising the client on the steps required under the applicable legal provisions to obtain a new valid title to a property whose original acquisition was vitiated by a ground of absolute nullity;
- Drafting and structuring key contracts in clients’ commercial relationships, including, by way of example, general contracting agreements, subcontracts, maritime transport contracts, unincorporated joint venture agreements (asociere în participațiune), consultancy agreements for energy market transactions, and other atypical contracts designed to consolidate the commercial understanding between the client and its business partners;
- Preparing and coordinating all legal documentation and providing strategic legal assistance to a major electricity producer in the sale of the company’s assets relating to the operation of a photovoltaic park with an installed capacity of 7 MW. The engagement involved negotiation and ongoing legal advice to ensure a fair transaction compliant with the regulations in force, thereby protecting the client’s interests in a dynamic energy sector;
- Providing legal assistance to an electricity producer in the transaction for the transfer of a 17.5 MW wind farm, covering the structuring of the transaction, coordination of the due diligence process, and the drafting and negotiation of the transfer agreement;
- Strategic legal advice to an electricity producer on the sale of the assets of a photovoltaic park with an installed capacity of 41 MW. The work included negotiations and ongoing legal support, ensuring that the transaction was conducted in accordance with the applicable regulations and that the client’s interests were protected;
- Assisting the client in completing the sale of a photovoltaic park with an installed capacity of 254 MW, including the preparation and management of all related documentation. This involved both preparing the necessary corporate changes and updating and negotiating the ongoing contracts essential to the development of the energy capacity;
- Legal assistance to the client in a complex transaction for the sale of a photovoltaic park with an approved capacity of 62 MW, including full management of the legal documentation required to complete the transaction. The work also involved facilitating the handover of the project to the purchaser, ensuring that all legal and administrative aspects, including the transfer of the related rights and obligations, were handled efficiently and in compliance with the regulations in force;
- Ongoing advice and support to a major renewable energy producer in navigating the complexities of national and EU renewable energy regulation, including obtaining the necessary permits and complying with environmental rules and specific technical requirements. A key aspect was also representing the client in its dealings with public institutions, such as energy regulators and local authorities, ensuring that all legal procedures were observed;
- Legal advice to a client specialising in energy trading on the relevant markets, with a strategic focus on competition law aspects. The work involved ensuring that the client’s operations complied with antitrust rules, preventing the risks associated with anti-competitive practices and thereby protecting its competitive position on the energy market.
